Am i correct in the assumption that my DDR2-800 could be holding back my cpu o\c?? If so, would this work??

Very few people have had luck getting 4GB of memory to run at rated speeds, much less overclocked. I'd go with a 2 x 1GB set. PC28500 is a good rating.
RAM shouldn't hold back your CPU overclock. You can always set the RAM to run at or near, its rated speed regardless of the CPU's speed. Slower RAM will hold back your benchmarks and gaming but it shouldn't stop you from maxing out the CPU.

Which motherboard you have?
My current mobo is PN532-E SLI and at least on this one you can select whether to set the FSB and memory relation automatically, manually, linked or synchronized. So, if you select manually, then you can put what ever you want for both CPU and memory. I assume that most of the new motherboards have similar possibility.

I don't know which BIOS that board uses, but i would assume that it has some similar option.
On the P35 and X38 boards you CAN NOT 'unlock' the memory and run it unlinked, instead use the dividers to get the appropriate speeds.. Running 1:1 with a 333FSB will result in 667mhz RAM speed (333x2)
